Terms of Service

By accessing or using the ProEmails service ("Service"), operated by ProEmails ("ProEmails," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you and ProEmails. Your use of the Service is also subject to our Privacy Policy and GDPR Compliance Statement.

ProEmails provides a hosted email service with AI-powered spam and threat filtering. Our infrastructure is hosted on servers physically located within the European Union. Incoming and outgoing email traffic is automatically filtered using our proprietary artificial intelligence systems to protect users from spam, phishing, malware, and other email-based threats.

• Hosted email with custom domains and email boxes
• AI-powered automatic spam filtering for both incoming and outgoing email
• End-to-end encryption via OpenPGP / GnuPG
• Secure storage with AES-256 encryption at rest and TLS 1.2+ in transit
• All processing on EU-based infrastructure

If you do not agree to the AI filtering of your incoming and outgoing email as described in these Terms, you must not use the Service.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are solely responsible for all content and activity that occurs under your account. The following activities are strictly prohibited:

Unsolicited Bulk Email (Spam)

Sending, or facilitating the sending of, unsolicited commercial email, bulk email, or any form of unsolicited marketing communications is strictly prohibited. This includes, without limitation, emails sent to recipients who have not provided explicit, verifiable consent to receive such communications. Whether you refer to it as "cold email," "outbound marketing," "email outreach," or any other term, unsolicited email sent to recipients without prior consent constitutes spam and is a violation of these Terms. Using phrases like "cold email" will not trick us - unsolicited marketing email is spam no matter what you call it.

Email Warmup Services

The use of email warmup services, warmup tools, warmup pools, or any third-party service designed to artificially inflate sender reputation, inbox placement rates, or engagement metrics is strictly prohibited. These services do not only fail to deliver on what they claim; they damage the IP reputation of our infrastructure by drawing heavy associations between our customers and known spam operations. Intentionally sending spam from our platform is a major violation of our policy and constitutes an attack against our service.

• Deceptive or Fraudulent Activity: Sending emails that are deceptive, misleading, or that impersonate any person or entity.
• Malware and Harmful Content: Transmitting viruses, malware, ransomware, or any other harmful code through the Service.
• Harassment and Abuse: Using the Service to harass, threaten, or abuse any individual or entity.
• Violation of Laws: Using the Service in any manner that violates applicable local, national, or international laws, regulations, or ordinances, including but not limited to the CAN-SPAM Act, GDPR, and ePrivacy Directive.

ProEmails employs proprietary artificial intelligence systems to automatically filter both incoming and outgoing email traffic. By using the Service, you acknowledge and agree that:

• All incoming and outgoing emails are subject to automated AI-based filtering and analysis.
• The AI assesses patterns, headers, content signals, and sender reputation to identify spam, phishing, and malware.
• Our filtering systems operate exclusively on servers located within the European Union.
• No email data is transmitted to any external AI provider, cloud AI service, or third-party API.
• Filtering decisions are made automatically to protect the integrity of our platform, our IP reputation, and all users of the Service.
• ProEmails reserves the right to block, quarantine, or delay any email that our systems identify as spam, malicious, or in violation of these Terms.
• The AI process is fully automated - no human reviews the classification decisions or the email content processed.

If you do not agree to this automated filtering of your email traffic, you must not use the Service.

When creating and maintaining your ProEmails account:

• You must provide accurate, complete, and current information when creating your account.
• You are responsible for safeguarding your account credentials and for all activities that occur under your account.
• You must notify ProEmails immediately of any unauthorised use of your account or any other breach of security.
• ProEmails will not be liable for any loss or damage arising from your failure to comply with this section.

ProEmails reserves the right to suspend, restrict, or terminate your account and your access to the Service, at our sole discretion and without prior notice, if we determine that you have:

• Violated any provision of these Terms, including the Acceptable Use Policy;
• Sent unsolicited bulk email, spam, or unsolicited marketing communications;
• Used email warmup services or any tool designed to artificially manipulate sender reputation;
• Engaged in activity that threatens the security, integrity, or availability of the Service or its infrastructure;
• Engaged in fraudulent, abusive, or unlawful activity.

Upon termination, your right to use the Service will immediately cease. ProEmails may, at its sole discretion, delete your account data and any associated content after termination. We are under no obligation to retain data following account termination.

By subscribing to a paid plan, you agree to pay the applicable fees as described at the time of purchase. All fees are quoted in British Pounds Sterling (£) unless otherwise stated.

Subscription Billing

Subscriptions are billed in advance on a recurring basis (yearly or bi-yearly, depending on your selected plan) and will automatically renew at the end of each billing cycle unless cancelled prior to renewal.

No Refunds - Dissatisfaction or Difficulty

ProEmails does not offer refunds on the basis of dissatisfaction with the Service or difficulty using the Service. Our pricing is designed to be affordable and accessible - it is not structured to subsidise free trials or prorated refunds. If the Service does not meet your needs, you may cancel your subscription at any time, and it will not renew. You will retain access to the Service until the end of your current paid billing period.

No Refunds - Terms of Service Violation

If your account is suspended or terminated due to a breach of these Terms, including but not limited to violations of the Acceptable Use Policy, you are not entitled to any refund, prorated or otherwise, for any unused portion of your subscription.

• Cancellation: You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to the Service until the end of your current paid billing period. No refund will be issued for the remaining unused period.
• Price Changes: ProEmails reserves the right to modify pricing at any time. Any price changes will take effect at the start of the next billing cycle following the date of the price change. We will provide reasonable notice of any price changes.

To the maximum extent permitted by applicable law, in no event shall ProEmails, its directors, officers, employees, agents, affiliates, or suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of, or inability to access or use, the Service;
• Any conduct or content of any third party on the Service;
• Any content obtained from the Service;
• Unauthorised access, use, or alteration of your transmissions or content;
• Any filtering, blocking, quarantine, or delay of emails by our AI systems;
• Any interruption, suspension, or termination of the Service.

In no event shall ProEmails' aggregate liability for all claims relating to the Service exceed the amount you paid to ProEmails in the twelve (12) months preceding the claim, or one hundred pounds sterling (£100), whichever is greater.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

ProEmails does not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free;
• The results obtained from the use of the Service will be accurate or reliable;
• All spam or malicious emails will be detected and filtered;
• Legitimate emails will not be incorrectly flagged or filtered;
• The quality of the Service will meet your expectations.

You assume all risk for any damage to your computer system or loss of data that results from your use of the Service.

You agree to defend, indemnify, and hold harmless ProEmails, its directors, officers, employees, agents, affiliates, and suppliers from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable legal fees, arising out of or in any way connected with:

• Your access to or use of the Service;
• Your violation of these Terms;
• Your violation of any third-party right, including without limitation any intellectual property right, publicity right, confidentiality right, or privacy right;
• Any claim that your use of the Service caused damage to a third party.

The Service, including its original content, features, functionality, AI filtering technology, software, and underlying infrastructure, is and shall remain the exclusive property of ProEmails and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service or its underlying technology without our prior written consent.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information.

ProEmails operates in compliance with the General Data Protection Regulation (GDPR) and applicable European data protection laws. All data is stored and processed exclusively on EU-based servers. For further details, please refer to our GDPR Compliance Statement.

By using the Service, you acknowledge that all email traffic is processed by our AI systems on EU infrastructure.

ProEmails reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. ProEmails shall not be liable to you or to any third party for any modification, suspension, or discontinuation of the Service.

We may revise these Terms from time to time. The most current version will always be posted on our website with an updated "Effective date." By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised Terms.

If you do not agree to the new Terms, you must stop using the Service.

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating any formal legal proceedings, you agree to first contact ProEmails to attempt to resolve the dispute informally by sending a written notice of your claim to our designated contact address.

If the dispute is not resolved within thirty (30) days of the initial notice, either party may pursue formal dispute resolution.

If any provision of these Terms is held to be unlawful, void, or unenforceable for any reason, that provision shall be modified to the minimum extent necessary to make it enforceable, and if it cannot be so modified, it shall be severed from these Terms. Such modification or severance shall not affect the validity and enforceability of the remaining provisions.

These Terms, together with the Privacy Policy and any other legal notices or policies published by ProEmails on the Service, constitute the entire agreement between you and ProEmails regarding your use of the Service, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.

No failure or delay by ProEmails in exercising any right, power, or privilege under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or privilege preclude any other or further exercise thereof or the exercise of any other right, power, or privilege.

You may not assign or transfer these Terms, by operation of law or otherwise, without ProEmails' prior written consent. Any attempt to assign or transfer these Terms without such consent will be null and void. ProEmails may assign or transfer these Terms, in whole or in part, without restriction.
